
A corporation is a type of company in which the shareholders are only liable for their capital contribution. It is an independent legal entity that has share capital. The best-known forms in Germany are the limited liability company (GmbH) and the public limited company (AG). In contrast to Partnerships In the case of corporations, capital takes centre stage and the shareholders are not personally liable for the company's debts. Due to their legal form, they are obliged to keep double-entry accounts and to publish their Annual financial statements obligated.
